1. Acceptance of Terms
By accessing or using the TCR Projects client portal ("Portal") at tcrprojects.com, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Portal. These Terms constitute a legally binding agreement between you and TCR CG, PLLC ("TCR," "we," "us," or "our").
2. Description of Services
The Portal provides project management, document sharing, scheduling, communication, and collaboration tools for construction projects managed by TCR. Features include but are not limited to project dashboards, file storage, inspection reports, notifications, and resource libraries.
3. User Accounts
- You must be invited by TCR or an authorized project administrator to create an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify TCR immediately of any unauthorized use of your account.
- You agree to provide accurate and complete information during registration and to keep your account information up to date.
4. Acceptable Use
You agree to use the Portal only for its intended purpose and in compliance with all applicable laws. You shall not:
- Share your account credentials with unauthorized individuals.
- Upload malicious software, viruses, or harmful content.
- Attempt to gain unauthorized access to other users' accounts or Portal systems.
- Use the Portal for any purpose other than managing or collaborating on TCR projects.
- Reproduce, distribute, or create derivative works based on Portal content without authorization.
- Interfere with or disrupt the integrity or performance of the Portal.
5. Intellectual Property
All content, features, and functionality of the Portal (including but not limited to text, graphics, logos, icons, images, software, and design) are owned by TCR CG, PLLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you upload, but grant TCR a license to use, store, and display such content as necessary to provide Portal services.
6. Confidentiality
You acknowledge that information accessed through the Portal, including project data, documents, financial information, and communications, may be confidential. You agree to maintain the confidentiality of such information and not disclose it to unauthorized third parties without prior written consent from TCR.
7. Data and Privacy
Your use of the Portal is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Portal, you consent to the practices described in the Privacy Policy.
8. Service Availability
We strive to maintain Portal availability but do not guarantee uninterrupted access. The Portal may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. TCR shall not be liable for any loss or damage resulting from Portal downtime.
9. Limitation of Liability
To the maximum extent permitted by law, TCR CG, PLLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising out of or related to your use of the Portal. Our total liability for any claim arising from or related to these Terms shall not exceed the amount you have paid to TCR in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless TCR CG, PLLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your use of the Portal or violation of these Terms.
11. Termination
TCR reserves the right to suspend or terminate your access to the Portal at any time, with or without cause, and with or without notice. Upon termination, your right to use the Portal ceases immediately. Provisions that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) shall survive.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Portal after changes constitutes acceptance of the revised Terms.
